IV.D.-2:101: Obligation to co-operate
The obligation to cooperate under III.-1:104 (Co-operation) requires the principal in particular to:
(a) answer requests by the agent for information in so far as such information is needed to allow the agent to perform the obligations under the mandate contract;
(b) give a direction regarding the performance of the obligations under the mandate contract in so far as this is required under the mandate contract or follows from a request for a direction under IV.D.-4:102 (Request for a direction).
IV.D.-2:101: Обязанность сотрудничать
Обязанность сотрудничать в соответствии со Статьей III.-1:104 (Сотрудничество) требует от принципала, в частности:
(a) в ответ на запросы агента предоставлять информацию в объеме, необходимом для исполнения агентом обязанностей по договору поручения;
(b) давать указания об исполнении обязанностей по договору поручения постольку, поскольку это требуется в соответствии с договором поручения либо запросом об указаниях в соответствии со Статьей IV.D.-4:102 (Запрос об указаниях).
IV.D.-2:102: Price
(1) The principal must pay a price if the agent performs the obligations under the mandate contract in the course of a business, unless the principal expected and could reasonably have expected the agent to perform the obligations otherwise than in exchange for a price.
(2) The price is payable when the mandated task has been completed and the agent has given account of that to the principal.
(3) If the parties had agreed on payment of a price for services rendered, the mandate relationship has terminated and the mandated task has not been completed, the price is payable as of the moment the agent has given account of the performance of the obligations under the mandate contract.
(4) When the mandate is for the conclusion of a prospective contract and the principal has concluded the prospective contract directly or another person appointed by the principal has concluded the prospective contract on the principal's behalf, the agent is entitled to the price or a proportionate part of it if the conclusion of the prospective contract can be attributed in full or in part to the agent's performance of the obligations under the mandate contract.

(5) When the mandate is for the conclusion of a prospective contract and the prospective contract is concluded after the mandate relationship has terminated, the principal must pay the price if payment of a price based solely on the conclusion of the prospective contract was agreed and:
(a) the conclusion of the prospective contract is mainly the result of the agent's efforts; and
(b) the prospective contract is concluded within a reasonable period after the mandate relationship has terminated.
IV.D.-2:102: Вознаграждение
(1) Если агент исполняет обязанности по договору поручения в ходе осуществления предпринимательской деятельности, принципал обязан уплатить вознаграждение, за исключением случая, когда принципал ожидал и, по разумному предположению, мог ожидать, что агент исполняет обязанности не за плату, а на иных условиях.
(2) Вознаграждение выплачивается при условии, что поручение выполнено и агент представил принципалу отчет о его исполнении.
(3) Если стороны договорились об уплате вознаграждения за оказанные услуги, отношения по договору поручения прекратились, а цель поручения не достигнута, вознаграждение подлежит уплате в момент представления агентом принципалу отчета о выполнении обязанностей по договору поручения.

(4) Если поручение касается заключения будущего договора и этот договор заключен самим принципалом или в его интересах иным назначенным им лицом, агент управомочен на получение вознаграждения или его соразмерной части, если заключение договора полностью или в части явилось следствием исполнения агентом обязанностей по договору поручения.
(5) Если поручение состояло в заключении будущего договора и договор заключен после прекращения отношений поручения, принципал обязан уплатить вознаграждение, если стороны договорились, что выплата вознаграждения связана исключительно с фактом заключения будущего договора и:
(a) заключение будущего договора является результатом главным образом действий агента; и
(b) будущий договор заключен в разумный срок после прекращения отношений поручения.
