Firm “…………….”, Ltd , Ukraine, hereinafter referred to as the “Seller”, represented by the director …………………... , acting on the basis of the Statute, on the one side and
Firm “……………..” ……………. , hereinafter referred to as “Buyers”, represented by director ……………. , acting on the grounds of the Statute, on the other side, together referred to as the “Parties”, and separately as “Party”, have concluded the present Contract, hereinafter referred to as the “Contract”, as follows:
SUBJECT OF THE CONTRACT
1.1. The Seller shall deliver and the Buyer shall accept and pay for refined deodorized sunflower seed oil of Ukrainian origin, bottled into the bottles "Prirodna" and "Spravzhnya" hereinafter referred to as the “Goods”.
1.2. Price, size of the bottle and quantity of the Goods to be determined by the Parties monthly for each lot. They are to be stated in specifications that are integral parts of the Contract.
1.3. Approximate value of the Contract is USD - …….
DELIVERY TERMS
2.1. The Goods are to be shipped by motor transport on FCA – Nemirovskoyeshosse str., 26, Vinnitsa, Ukraine (as per INCOTERMS 2000)
2.2. The Buyer is to provide the Seller with Consignee’s name and address additionally, as well as with the information required for the Goods’ shipment.
2.3. Delivery terms for each lot of the Goods to be specified in correspondent Specification. In case the Seller doesn’t receive an advance payment for a lot of the Goods in time, the Seller has right to extend delivery terms accordingly.
2.4. The Buyer is to provide the Seller with written instructions for filling in the shipment documents within 3 (three) working days from the date of signing of the correspondent Specification. Otherwise the Seller is not liable for the Buyer’s additional expenses that may arise from incorrect filling in of the shipment documents.
2.5. The Seller shall ensure customs clearance and certification of the Goods at the country of origin, the Buyer – at the country of destination.
